1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and MAXA GLOBAL LP ("we," "us" or "our"), registered in the Republic of Ireland (6 Fern Road, Sandyford, Dublin, D18 FP98), concerning your access to and use of our website as well as any other media form, RTB platform, or services related or connected thereto (collectively, the "Site" and "Services").

By accessing the Site and utilizing our Services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree, you are expressly prohibited from using the Site and must discontinue use immediately.

2. Our Services

Maxa Global operates a Real-Time Bidding (RTB) Ad Exchange and operates as a full-cycle digital agency. We facilitate the buying and selling of digital advertising inventory. Our services for Advertisers and Publishers are subject to separate specific Master Service Agreements (MSAs) or Insertion Orders (IOs). In the event of a conflict between these Terms and an MSA or IO, the MSA or IO shall prevail.

3. User Representations

By using the Site, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You have the legal capacity and you agree to comply with these Terms and Conditions.
  • You will not use the Site for any illegal or unauthorized purpose.
  • Your use of the Site will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. You agree not to engage in fraudulent activities, click fraud, malware distribution, or any activity that attempts to disrupt or manipulate the integrity of our RTB Exchange.

5. Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our Services.

7. Governing Law

These Terms shall be governed by and defined following the laws of the Republic of Ireland. MAXA GLOBAL LP and yourself irrevocably consent that the courts of Ireland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
